Terms of Service + Client Agreement

Purpose of the Agreement
Ryesla Systems LLC (“Company,” “we,” “our,” or “us”) provides business automation, systems design, workflow optimization, AI-enabled solutions, and operational consulting services (“Services”) to small and service-based businesses.

By booking a consultation, signing a proposal, submitting payment, or using our Services, you (“Client”) agree to the following Terms & Conditions. These terms are intended to ensure clarity, professionalism, and mutual protection throughout the engagement.

1. Scope of Work
All Services provided by Ryesla Systems LLC are defined in a written proposal, project brief, statement of work, invoice, or service description agreed to by the Client.
​
The scope includes only what is explicitly outlined. Any additional requests—including new automations, workflow changes, integrations, revisions beyond the agreed scope, or added consulting—require written approval and may incur additional fees.
​
Project timelines depend on Client responsiveness, timely feedback, and delivery of required information or access credentials.

2. Client Commitment & Participation
The Client agrees to:

Provide accurate and complete information

Respond to requests in a timely manner

Participate actively in implementation and decision-making

Communicate professionally and respectfully
Failure to participate or prolonged unresponsiveness may delay or pause services without refund.

3. SMS Terms & Conditions
SMS Messaging Terms
By opting in to receive SMS messages from Ryesla Systems LLC, you agree to receive text messages related to service updates, appointment confirmations, account notifications, and customer support. Message frequency may vary. Message and data rates may apply.
Carriers are not liable for delayed or undelivered messages. You must be 18 years or older to use our SMS services.

4. Payment Terms

All payments are due as stated in the invoice or proposal

Deposits, if required, are non-refundable

Work begins only after payment or a deposit is received

Payment plans, if offered, must be approved in writing
Missed or delayed payments may result in paused services, revoked access, or additional fees.

All Services are non-refundable once work has commenced due to the customized nature of automation and systems design.
Final deliverables, credentials, or access remain the property of Ryesla Systems LLC until payment is received in full.

5. Intellectual Property & Ownership
All systems, workflows, automations, templates, scripts, documentation, and methodologies created by Ryesla Systems LLC remain our intellectual property until full payment is received.
​
Upon payment, the Client is granted a limited, non-transferable license to use the deliverables for their own internal business purposes.
Clients may not copy, resell, redistribute, teach, or commercialize Ryesla Systems LLC materials without written permission.

6. Confidentiality
Both parties agree to keep confidential any proprietary, technical, or business information shared during the engagement.
Ryesla Systems LLC will not disclose Client data without permission unless required by law.
​
We may reference public-facing, non-sensitive work for portfolio or marketing purposes unless the Client requests confidentiality in writing.
​
7. Non-Solicitation & Integrity
Clients agree not to solicit, hire, or contract with Ryesla Systems LLC team members or contractors during the engagement or for twelve (12) months after completion.
​
Clients may not replicate or resell Ryesla Systems LLC proprietary systems or frameworks.
​
8. Cancellations & Rescheduling
For scheduled consulting or strategy sessions, at least 24 hours’ notice is required for rescheduling. Missed sessions without notice may be forfeited.
​
For project-based work, cancellations must be submitted in writing. Work completed up to the cancellation date will be invoiced in full.
​
9. No Refund Policy
All payments are final and non-refundable once work has begun.
​
Because Services involve custom systems, integrations, and strategic decisions, refunds cannot be issued for partial work, dissatisfaction, or early termination.
​
10. Client Responsibility & Results Disclaimer
Ryesla Systems LLC provides tools, systems, and guidance—but outcomes depend on Client implementation, decisions, and external factors.
​
We do not guarantee specific business results, revenue increases, or performance outcomes.
​
11. Right to Suspend or Terminate Services
Ryesla Systems LLC reserves the right to pause or terminate services if the Client:

Fails to make payments

Is unresponsive for more than 14 days

Engages in abusive, disrespectful, or unethical behavior
No refunds will be issued in such cases.

12. SMS, Automation & Communication Disclaimer
If SMS, email, or automated messaging is implemented:

Messages are sent only to users who have opted in

Clients are responsible for content approval and compliance

Ryesla Systems LLC is not responsible for carrier filtering, delivery delays, or third-party platform limitations

13. Age Restriction (18+)
By using this website, submitting forms, or opting in to receive SMS communications from Ryesla Systems LLC, you confirm that you are at least 18 years of age.
​
Our services and communications are not intended for individuals under the age of 18. We do not knowingly collect personal information from minors. If we become aware that information has been collected from a person under 18, we will promptly delete such information.
​
14. Limitation of Liability
Ryesla Systems LLC shall not be liable for indirect, incidental, or consequential damages.
​
Our total liability shall not exceed the amount paid by the Client for the specific Services in question.
​
15. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

16. Acceptance of Terms
By booking services, signing an agreement, submitting payment, or continuing to work with Ryesla Systems LLC, the Client confirms they have read, understood, and agreed to these Terms & Conditions.
